These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and LexiIntel Technologies Inc., a Delaware corporation ("LexiIntel," "we," "us," or "our"), governing your access to and use of the LexiShield™ platform, including all related software, documentation, and services (collectively, the "Service").
By creating an account, clicking "I Agree," or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

To use the Service, you must provide accurate and complete information including your legal business name, contact information, and payment details. You are responsible for maintaining the confidentiality of your Company ID and account credentials. You agree to notify us immediately of any unauthorized use of your account.
You must be at least 18 years of age and have the legal authority to bind your business to these Terms. By registering, you represent that you are authorized to do so.
The documents generated by LexiShield™ are produced by automated software based on publicly available regulatory frameworks. They are not prepared by attorneys, are not tailored legal advice, and do not create an attorney-client relationship between you and LexiIntel Technologies Inc. or any of its employees.
LexiVerified™ certification certifies that a document was generated by the LexiShield™ system at a specific date and time and has not been altered since generation. It does not certify legal compliance, regulatory approval, or sufficiency under any applicable law.
You are solely responsible for determining whether the Service is appropriate for your needs and for obtaining independent legal counsel to review any documents generated before relying on them for regulatory compliance purposes.
The Service is offered on a subscription basis. Current plans and pricing are displayed at lexishield.ai. All fees are stated in U.S. dollars and are exclusive of applicable taxes.
Certain subscription plans require a one-time setup fee due at the time of initial subscription. Setup fees are non-refundable except as required by applicable law.
Monthly subscription fees are billed in advance on the same date each month. By providing payment information, you authorize LexiIntel to charge your payment method automatically on each billing date.
If payment fails, we may suspend your access to the Service until payment is received. We will attempt to notify you via the email address on file.
We reserve the right to modify subscription pricing upon 30 days' written notice. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
You may cancel your subscription at any time through your account settings or by contacting us at billing@lexishield.ai. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of your paid period. No partial refunds are provided for unused portions of a billing period.

The Service, including all software, algorithms, templates, documentation, trademarks (LexiShield™, LexiVerified™, LexiComply™, LexiGovern™), and related intellectual property, is owned by LexiIntel Technologies Inc. and is protected by U.S. and international intellectual property laws, including patents pending (Patents 20, 23-29).
Documents generated by the Service using your business information are your property. You grant LexiIntel a limited license to process and store your data to provide the Service.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEXIINTEL TECHNOLOGIES INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REGULATORY FINES, PENALTIES, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN NO EVENT SHALL LEXIINTEL'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LEXIINTEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DOCUMENTS GENERATED WILL BE LEGALLY SUFFICIENT FOR ANY PARTICULAR PURPOSE OR JURISDICTION.
You agree to defend, indemnify, and hold harmless LexiIntel Technologies Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Tarrant County, Texas. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Subject to the arbitration clause above, you consent to the exclusive jurisdiction of the state and federal courts located in Tarrant County, Texas.
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or prominent notice on the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or engage in conduct we determine to be harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately.
LexiIntel Technologies Inc. ("LexiIntel," "we," "us," or "our") is committed to protecting your privacy. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use the LexiShield™ platform.

We implement industry-standard security measures including encrypted data transmission (TLS), hashed document storage (SHA-256), access controls, and regular security reviews. No method of transmission or storage is 100% secure. We cannot guarantee absolute security but are committed to protecting your data.

Vendor demand letters generated by LexiShield™ are formal written requests for compliance documentation. They are not legal pleadings, cease and desist letters, or legally binding demands. The legal effect of any vendor demand letter depends on applicable law, the specific facts of your situation, and the vendor's response.
LexiIntel Technologies Inc. is not responsible for vendor responses or non-responses to demand letters, nor for any consequences of sending or not sending such letters.
Use of LexiShield™ does not guarantee that your business is in compliance with any applicable law or regulation. Compliance is a legal determination that requires analysis of facts, circumstances, and applicable law by a qualified attorney. LexiShield™ is a tool to assist in your compliance workflow — it is not a substitute for legal counsel.
Some features of LexiShield™ may use artificial intelligence and machine learning to generate or assist in generating content. AI-generated content may contain errors, omissions, or inaccuracies. You are responsible for reviewing all Generated Documents for accuracy before use.

We want you to be satisfied with LexiShield™. This Refund Policy explains our approach to refunds and cancellations.
One-time setup fees are non-refundable. Setup fees cover the cost of account provisioning, initial compliance mapping, and document generation infrastructure preparation. These costs are incurred immediately upon subscription and cannot be recovered.
Monthly subscription fees are non-refundable once the billing period has begun. You will retain full access to the Service through the end of your current paid billing period after cancellation.
We do not provide partial refunds or credits for unused portions of a billing period.

If you initiate a chargeback with your bank or credit card company without first contacting us, we reserve the right to suspend your account pending resolution and to dispute the chargeback. We encourage you to contact us first — we are committed to resolving billing issues quickly and fairly.
